WHY ATTEND
The FCA and IA are co-hosting a webinar on 09 May to discuss the new Public Offer and Admissions to Trading Regime. These reforms, first identified as part of the Hill review and to be implemented using powers taken forward in the Financial Services and Markets Bill currently passing through Parliament, will replace the current Prospectus Regime in the UK with the aim of making regulation in this area more agile and effective, facilitating wider participation in the ownership of public companies, and delegating a greater degree of responsibility for the regime to the FCA. These reforms include:
- A new public offer architecture
- Amendments to rules on admissions to trading on Regulated Markets and Multilateral Trading Facilities
- Amendments to liability thresholds for forward-looking information to make inclusion of such information easier
- Reforms to requirements for offers of securities not admitted to trading
- An enhanced scope of the Public Offer Regime
The FCA will provide members with some further background and context to the overall reforms, outline their planned engagement process, and highlight some key areas of policy focus, with an opportunity for Q&A. This is a great opportunity for members to engage with the FCA on this vital topic for member firms and UK markets as a whole.

SPEAKERS
Adam Wreglesworth, Manager, Primary Markets Policy Team, Capital Markets Department, FCA
Adam is the manager of the Primary Markets Policy team at the FCA, which is responsible for the FCA's Listing Rules, Prospectus-related requirements, and ongoing transparency obligations for issuers on regulated markets. His team is leading on both the FCA’s Primary Markets Effectiveness Review and FCA work in relation to HM Treasury’s Prospectus Regime Review. Adam has worked for the FCA for over 11 years in a variety of roles, prior to which he was a policy analyst at HM Treasury.
David Stubbs, Lead Associate, Primary Markets Policy Team, Capital Markets Department, FCA
David is a lead associate at the FCA and a policy lead on work on the new Public Offers and Admission to Trading Regime. Prior to working at the FCA, David has an extensive career in policy and regulation including as a Chief Economist at Citizens Advice, a Managing Consultant at a UK economic consultancy and as a policy expert at the European Commission.

Hugo Gordon is a Senior Policy Adviser in the Investments & Capital Markets Team at The Investment Association. Alongside his work on UK capital markets competitiveness issues, within the IA Hugo leads on ETF, fixed income, and private markets.
